Montana LLC: The Complete Guide to Formation, Benefits, and Vehicle Registration

A Montana LLC costs $225 to form, requires no state sales tax on vehicle purchases, and offers permanent registration for vehicles 11 years and older — meaning you register once and never renew. Formation takes a few business days through the Secretary of State, and no Montana residency is required. Here’s the complete picture.

Montana is one of the most popular states in the country for LLC formation — and it’s not just because of the scenery. Zero sales tax, strong privacy protections, low annual costs, and a business-friendly legal framework make Montana a top choice for vehicle owners, small business operators, and asset protection planners nationwide.

Disclosure: Shelby and Sons is a private title company — not a government agency. We prepare and submit documents to the Montana Secretary of State and MVD on your behalf. Learn more about our credentials.

Whether you’re forming an LLC to register a vehicle, protect assets, or run a business, here’s everything you need to know about Montana LLCs — how they work, what they cost, and what’s involved in keeping one active.

Why Montana?

Every state allows LLC formation. Montana stands out for several specific reasons:

  • No sales tax — Montana is one of five states with zero statewide sales tax (and under MCA 61-3-321, registration fees are based on vehicle age, not value). This is the primary reason vehicle owners register through Montana LLCs. A $100,000 vehicle that would cost $6,000 to $10,000 in tax elsewhere costs nothing in Montana.
  • Privacy — Montana LLC filings do not require public disclosure of member names. The LLC’s registered agent address appears on public records, not your personal address.
  • Low ongoing costs — Montana’s annual requirements are minimal compared to states like California (which charges an $800 annual franchise tax just for existing).
  • No franchise tax — no annual minimum tax just for having an LLC.
  • Permanent vehicle registration — vehicles 11 years and older registered in Montana qualify for permanent tags. Pay once, never renew.
  • No emissions or inspections — Montana doesn’t require emissions testing or annual vehicle inspections.
  • Flexible management — Montana LLCs can be member-managed or manager-managed, with no restrictions on who can be a member.

How Montana LLC Formation Works

Step 1: Choose a Name

Your LLC name must be unique in Montana — it can’t match or be confusingly similar to an existing Montana business. The name must include “LLC” or “Limited Liability Company.” We check name availability with the Secretary of State before filing.

For vehicle LLCs, many owners use a personal name or a descriptive name. The name is up to you.

Step 2: File Articles of Organization

The Articles of Organization is the founding document filed with the Montana Secretary of State under MCA 35-1-1026. It establishes the LLC as a legal entity and includes the LLC name, registered agent, principal office address, and management structure.

Once filed, the state assigns a C-Number — your LLC’s unique corporate identifier. This number goes on all your registration and tax documents.

Step 3: Registered Agent

Under MCA 35-8-1001, every Montana LLC is required to have a registered agent — a person or company with a physical Montana address that receives official mail, legal notices, and state correspondence on behalf of the LLC.

At Shelby and Sons, registered agent service is included with LLC formation and continues through our annual maintenance. We receive your state notices, annual report reminders, and any legal correspondence — and we forward everything to you.

Step 4: Your LLC Is Active

Once the Articles are filed and the C-Number is assigned, your LLC is a legal Montana entity. You can now open bank accounts, purchase vehicles, enter contracts, and register vehicles in Montana — all in the LLC’s name.

Formation typically takes a few business days through standard processing. Rush formation is available — we can prepare and submit within hours for time-sensitive situations.

What You Can Do With a Montana LLC

Register Vehicles

This is the most common use of Montana LLCs for out-of-state owners. The LLC owns the vehicle, receives a Montana title under MCA 61-3-201, and registers the vehicle in Montana under MCA 61-3-303 — no sales tax, no emissions testing, permanent registration for vehicles 11+ years old under MCA 23-2-804. You can register cars, trucks, RVs, motorhomes, trailers, motorcycles, boats, and more.

Your first vehicle registration includes title transfer, MVD filing, and plate shipping. Adding additional vehicles to an existing LLC is simpler and less expensive — the LLC is already formed, so you skip that step.

Personalized (Vanity) Plates

Want custom lettering on your Montana plates? We prepare and submit the personalized plate application on your behalf. You choose the letters and numbers; the state determines availability and eligibility. Montana offers vanity lettering on most of their 100+ specialty plate designs.

Temporary Operating Permits

Need to drive the vehicle before your permanent plates arrive? We can help you obtain a temporary operating permit so you’re legal on the road while your registration is being processed. Especially useful for new purchases where you need to drive the vehicle home or to storage.

Asset Protection and Privacy

An LLC creates a legal separation between you and the assets the LLC owns. The vehicle is owned by the LLC — your name doesn’t appear on the title or registration. This provides a layer of privacy and liability protection.

Montana’s LLC privacy protections are strong — member names are not required on public filings. The registered agent’s address appears on state records instead of your home address.

Business Operations

Montana LLCs aren’t just for vehicles — though they’re especially popular for RV and motorhome registration. If you’re starting a business, holding rental property, structuring investments, or forming a Montana corporate entity, a Montana LLC provides the same formation benefits: no franchise tax, no sales tax, minimal annual requirements, and flexible management structure.

Additional LLC Services

EIN (Employer Identification Number)

An EIN is your LLC’s federal tax identification number, issued by the IRS. You may need one for:

  • Opening a business bank account in the LLC’s name
  • Financing a vehicle through the LLC
  • Filing federal tax returns for the LLC

For a vehicle-only LLC with no bank account and no financing, you typically don’t need an EIN. But if your lender requires one, or if you want a dedicated LLC bank account, we handle the application and filing with the IRS.

Operating Agreement

An operating agreement defines how the LLC is managed — who the members are, their ownership percentages, how decisions are made, and what happens if a member leaves or the LLC is dissolved.

Montana doesn’t legally require one, but you’ll need it if:

  • Financing — many lenders require an operating agreement before financing a vehicle in an LLC’s name
  • Multiple members — clarifies everyone’s rights and responsibilities
  • Banking — some banks require it to open an LLC bank account

Corporate Book Package

For clients who want the full professional setup, our corporate book package includes:

  • Operating Agreement — customized to your LLC
  • EIN — filed with the IRS
  • Corporate Book and Seal — a physical binder with your LLC documents and an embossed seal for official use

Popular with clients who plan to use their LLC for financing, banking, or ongoing business operations.

Certificate of Good Standing

An official document from the Montana Secretary of State confirming your LLC is active and in compliance. You may need one for bank accounts, loan applications, or registering your Montana LLC in another state.

Keeping Your LLC Active

Once your LLC is formed, the ongoing maintenance is minimal:

  • Annual report — required by the Secretary of State, due on your LLC’s anniversary date. As your registered agent, we receive the notices and handle the filing as part of our annual maintenance service.
  • Registered agent — continuous service, included in annual maintenance. We receive all official correspondence and forward it to you.
  • Mail forwarding — included with your registered agent service. Any mail that comes to your LLC’s Montana address gets forwarded to you.

If the annual report isn’t filed, the state will eventually dissolve the LLC — which invalidates any vehicle registrations under it. We track every deadline and handle the filings so you don’t have to remember.

Special Situations

Changing Your Registered Agent

Already have a Montana LLC with another agent? You can switch to Shelby and Sons. We file the change with the Secretary of State and begin receiving your official mail immediately. Your LLC, C-Number, and registrations all stay the same.

Break/Bond Titles

Vehicle without a title — lost, damaged, or never issued? Montana offers a bonded title process that provides a legal path to a clean title. This requires additional documentation including a surety bond. We handle these regularly. For details: Montana Vehicle Registration Requirements. See our title recovery guide for the full process.

Foreign Vehicle Titles

Vehicles not originally titled in the United States — imports from Canada, Europe, Japan, or elsewhere — require additional paperwork including customs documentation and EPA/DOT compliance records. We process foreign vehicle titles and know what the state requires.

Rush and Expedited Options

Standard processing is 7 to 10 business days from receipt of signed documents. When you’re on a tighter timeline, we offer several rush options:

Service Price Timeline
Rush LLC Formation Within hours
Rush Registration Contact us ~3 business days
Rush Title Contact us ~3 business days
Rush Title + Registration Contact us ~3 business days
Temporary Plates $85 Drive while processing
Rush Temp Plates +$125 Expedited
FedEx Overnight Shipping Contact us Next business day
Vanity Plates $250 One-time fee

Rush is popular for auctions, dealer deliveries, end-of-year purchases, or any time-sensitive situation. Temporary plates let you drive legally while permanent registration is processing.

Montana LLC vs. Other States

Montana vs. Wyoming: Both have no sales tax and strong privacy. Wyoming has no state income tax. Montana’s advantage: permanent vehicle registration and no vehicle inspections.

Montana vs. South Dakota: Both have no sales tax. South Dakota is popular with full-time RVers for domicile. Montana’s advantage: permanent registration (South Dakota requires annual renewals forever) and no vehicle inspections.

Montana vs. Delaware: Delaware is popular for corporations due to its Chancery Court. For vehicle registration, Delaware has sales tax — Montana wins.

Montana vs. Nevada: Nevada charges annual business license fees and a commerce tax. Montana’s annual costs are lower with no sales tax.

Is a Montana LLC Right for You?

A Montana LLC makes the most financial sense when:

  • You’re buying an expensive vehicle — the higher the price, the more you save. Even a $40,000 vehicle saves $2,400 to $3,200.
  • You want permanent registration — for vehicles you’ll keep long-term, especially RVs and classics.
  • You value privacy — the LLC keeps your name off public records.
  • You own multiple vehicles — additional vehicles are less expensive once the LLC exists.
  • You want to avoid emissions testing — Montana has none.

Check your home state’s rules on use tax and vehicles garaged in-state. We handle Montana; your CPA or attorney can advise on your state.

Frequently Asked Questions

Do I need to live in Montana to form an LLC?

No. Anyone can set up an LLC in Montana regardless of where they live. You need a Montana registered agent (that’s us), but you don’t need to be a resident.

How long does LLC formation take?

Standard processing takes a few business days. Rush formation is available within hours for time-sensitive situations.

Do I need an EIN for a vehicle LLC?

Usually not. If the LLC exists solely to own a vehicle with no bank account or financing, an EIN isn’t required. You’ll need one if a lender requires it or if you want a dedicated LLC bank account.

Do I need an operating agreement?

Montana doesn’t require one by law, but lenders and banks often do. For single-member vehicle LLCs with no financing, it’s optional.

What happens if I don’t file the annual report?

The state dissolves the LLC, invalidating any vehicle registrations under it. We handle annual filings as part of our maintenance service — you don’t have to remember.

Can I add vehicles to my LLC later?

Yes. Once the LLC exists, adding vehicles is straightforward and less expensive than the initial setup.

Can I transfer from another registered agent?

Yes. We file the change with the Secretary of State. Your LLC, C-Number, and registrations stay the same.

What’s the difference between an LLC and a corporation?

LLCs are simpler, have fewer compliance requirements, and offer pass-through taxation. For vehicle ownership, an LLC is almost always the right choice.

Is Montana LLC vehicle registration legal?

Yes. Montana LLCs are legitimate entities under state law. Check your home state’s rules on use tax. See: How to Register a Car in Montana Without Living There.
